Ottaway Newspapers purchased the assets of Stockton Newspapers for $140,000,000. Our engagement with Ottaway included determining the fair market value of the tangible and intangible assets. These assets are located at 530 East Market Street, Stockton, California 95202. The facility comprises approximately 120,000 square feet.

Furthermore, FCGI valuation specialists appraised all designated assets. Consequently, we assisted Ottaway with allocating the purchase price among the assets. This allocation supports tax and financial accounting reporting requirements. Specifically, we complied with FASB Statements 141 (Business Combinations) and 142 (Goodwill and Other Intangible Assets), as well as the Internal Revenue Code.

The Memorial Press, LLC – Enterprise NewsMedia, LLC

FCGI performed an appraisal of certain identifiable intangible assets of J.A.A. Corporation (d/b/a Associated/Independent Newspapers). The Memorial Press, LLC (an affiliate of Enterprise NewsMedia, LLC) acquired the Company on February 24, 2006.

The total consideration for substantially all of the Company's assets approximated $152,500,000. The Company publishes, prints, and distributes weekly community newspapers in several Massachusetts communities. Additionally, the Company sells advertising space and subscriptions.

The purpose of this appraisal was to express an opinion of the fair value (under the premise of continued use) of the identifiable intangible assets acquired by The Memorial Press. Furthermore, this opinion serves as a basis for allocating the purchase price for financial reporting purposes. Specifically, we followed the provisions of FASB Statements 141 and 142.

However, it is entirely inappropriate to use this report or its valuation conclusions for any purpose other than the one stated in this report.

The Memorial Press, LLC – Enterprise NewsMedia, LLC

FCGI performed an appraisal of certain identifiable intangible assets of The Bulletin Newspapers, Inc. ("Norwood Bulletin"). The Memorial Press, LLC acquired the Company on January 28, 2005.

The total consideration for all outstanding membership interests approximated $155,575,000. The Norwood Bulletin publishes, prints, and distributes a weekly community newspaper in Norwood, MA. In addition, the Company sells advertising space and subscriptions.

The purpose of this appraisal was to express an opinion of the fair value (under the premise of continued use) of the intangible assets acquired by Memorial Press.

This opinion serves as a basis for allocating the purchase price for financial reporting purposes. Specifically, we complied with FASB Statements 141 and 142. However, it is entirely inappropriate to use this report or its valuation conclusions for any purpose other than the one stated in this report.
